Plain-language summary: Socrate connects you with domain experts to verify, clarify, or author knowledge outputs. Experts are independent contractors, not Socrate employees. Answers are professional opinions, not legally binding advice. Tokens are spent on submission and not refunded after delivery.

1. Service description

Socrate is a knowledge distribution platform operated by Socrate SAS ("Socrate", "we", "us") that connects clients ("Clients") with domain experts ("Experts") for human-verified answers to professional questions. By creating an account or using our services, you agree to be bound by these Terms.

We offer three service tiers: Verify (expert reviews AI output), Clarify (expert adds domain nuance and context), and Author (expert co-creates original content).

Socrate acts as an intermediary platform only. Answers provided by Experts constitute professional opinions, not legal, medical, financial, or regulatory advice in the statutory sense. Clients remain solely responsible for decisions made based on any answer delivered through the platform.

2. Accounts and access

Access to the platform requires a valid business or personal email address. We use magic links for authentication — no password is stored. You are responsible for keeping your sign-in link confidential. Accounts are personal and non-transferable unless otherwise agreed in writing.

We reserve the right to suspend or terminate accounts that violate these Terms, engage in abuse, or attempt to circumvent platform security. We will provide reasonable notice except in cases of severe violation.

Organisation-level accounts may be created for teams. The account administrator is responsible for ensuring all users within their organisation comply with these Terms.

3. Token policy

The platform operates on a token system. Token costs are determined at submission time based on service level, question complexity, and other factors:

New accounts receive 3 complimentary tokens on first login. Additional tokens may be purchased via the platform.

Tokens are deducted when an answer is delivered, not on submission. If a request is withdrawn before assignment, no tokens are deducted. Tokens are non-refundable once a delivery has been made. Unused tokens may be refunded at our discretion in the event of platform discontinuation.

4. Expert relationship

Experts are independent contractors, not employees of Socrate. Socrate reviews Expert credentials and quality standards before approval but does not guarantee the accuracy of any individual answer. Experts are accountable for their deliveries under a separate Expert Agreement.

Client contact with Experts is limited to the structured request/response workflow within the platform. No direct off-platform communication (email, phone, LinkedIn, etc.) is permitted without explicit written consent from Socrate. Circumventing the platform to engage an Expert directly will result in account termination and may attract a platform bypass fee.

5. Service level agreements

SLA timings are targets, not guarantees. SLA clocks start from the moment a request is formally assigned to an Expert (not from submission). If an SLA is missed due to platform failure (not Expert unavailability), we will credit the corresponding tokens back to your account. We do not offer financial compensation for missed SLAs.

Urgency tiers may be available for additional token cost, which reduces SLA commitment to as low as 4 hours for Verify requests, subject to Expert availability.

6. Acceptable use

You may not use Socrate to:

Violations may result in immediate account suspension and forfeiture of remaining tokens.

7. Intellectual property

You retain ownership of all content you submit ("Client Content"). By submitting a request, you grant Socrate a limited, non-exclusive licence to use your Client Content to route your request, generate a response, and improve our routing algorithms (in anonymised form only).

Expert answers delivered to you ("Expert Outputs") are licenced to you for internal business use only. You may not resell, publish, or redistribute Expert Outputs without explicit written consent from the Expert or Socrate.

Socrate retains all rights to the platform, its design, methodology, and aggregated anonymised data derived from platform use.

8. Confidentiality

All requests marked "Confidential" will not be shared with any third party beyond the assigned Expert and Socrate's administration team. Experts sign a confidentiality agreement before approval. Socrate employees are bound by strict data handling policies.

We may use anonymised, aggregated data (stripped of all identifying information) to improve the platform and for marketing purposes (e.g. "47% of requests in the energy domain required corrections").

9. Liability and disclaimer

To the maximum extent permitted by law, Socrate and its Experts are not liable for any direct, indirect, incidental, consequential, or punitive damages arising from your use of or reliance on any answer delivered through the platform.

Expert answers are professional opinions made in good faith based on available information. They do not constitute legal advice, medical advice, financial advice, or regulatory guidance in the statutory sense. You must obtain formally regulated professional advice before making decisions with legally binding consequences.

Our total liability to you for any claim shall not exceed the total tokens spent by you in the 3 months preceding the claim.

10. Governing law

These Terms are governed by the laws of Estonia (where Socrate OÜ is registered) and, for EU Clients, relevant European Union consumer protection regulations. Disputes will first be referred to mediation. If unresolved, disputes shall be subject to the exclusive jurisdiction of Estonian courts, except where mandatory local consumer protection laws require otherwise.

11. Changes to terms

We may update these Terms from time to time. Material changes will be communicated by email to registered users at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the revised Terms.
